Noteworthy Transactions
Law Trust Company's recent transactions are varied and of high standing. They include the following:
- Legal opinion work for foreign financial institutions in respect of an international oil trade facility for the Ghana Government; Law Trust Company acted as the local solicitors for Sydmor Finance and Investment Ltd and Citibank Investment PLC for a short term oil import finance facility.
- Legal advisers for the US$12 Million investment in the Central Region of Ghana by Swiss financiers; Law Trust Company acted as Solicitors for BRM Wood Processing Limited, the beneficiaries of this investment in this transaction.
- The establishment of a trust as a vehicle for the acquisition and holding of AGC shares by the Adansi District Assembly; following the floatation of the AGC shares a portion of the proceeds therefrom was to be set aside for the development of Obuasi township and Law Trust Company drew up a Trust Deed to be held by the Adansi District Assembly for and on behalf of the Obuasi people.
- Long-term financing agreements between a European investment house and major car and equipment dealers in Ghana; this transactions involved a Swiss Company D.O.F. Finance and Gold Coast Motors for dealership in Chrysler vehicles.
- Establishment of private gold dealership and pilot regulatory regime for this industry; Law Trust Company helped Miramex a Ghanaian Company to obtain a licence for private Gold purchases.
- Legal opinion work on an international syndicated loan for a major Ghanaian borrower; the transaction involved Ghana Cocoa Board, City Bank/Sydmor Finance.
- Scheme for the merger of GOG owned timber concerns as a basis for privatization;
- Scheme for merger of three (3) hotels companies owned by the SSNIT and foreign investors; Law Trust Company acted as Solicitors for Palm Royal Hotel in this scheme of merger involving Berjaya Elmina Beach Resort Limited and Busua Beach Resort and La Palm Royal Hotel.
- Legal opinion work on the floatation of a Mining Company on an International Stock Exchange; Law Trust Company acted as the local counsel to Samax Resource Limited and our work involved reviewing certain documents and providing legal opinion on matters which would form part of the preliminary prospectus for Samax Gold Inc. relating to an initial public offering of the common shares of that corporation. Law Trust Company worked in collaboration with Faskin Campbell Godfrey of Toronto, Canada.
- International consulting arrangements for a major far Eastern concern seeking business opportunities in the West African Sub-Region; Law Trust Company in this assignment provided diverse advise on the hospitality industry, Finance and Telecommunications for Berjaya Bhd., a Malaysian business concern;
- Advising on legal aspect in the acquisition of International loan finance and equity for major International Banks and business for residential and commercial development; Law Trust Company acted as Solicitors for GREDA in this transaction involving a credit facility for US$14 Million bulk supply of specified building materials for the execution of Dunkonah Residential Estates. The international institutions included International Trading and Export Company (INTEC), SBC Wamburg and Merchant Bank (Gh) Limited;
- Advising on the acquisition of a major Bank by foreign and local investors; Law Trust Company acted as Legal Advisers to a local group with technical support of RIGGS Bank in the United States of America in their acquisition of the National Investment Bank;
- Advising on the establishment of a local Bank by Foreign Bank; Law Trust Company was responsible for the incorporation, acquisition of licences, premises, etc. for the establishment of International Commercial Bank;
- Law Trust Company acted as independent legal counsel in the preparation of a due diligence report on DANAFCO Limited a Danish-Ghana Joint Venture during its restructuring, reviewed Shareholder Agreements and delivered legal opinions on various aspects of the transaction. The other Companies involved are the Industrialisation Fund For Developing Countries (IFU), Propharma A/S and Ghana Venture Capital Fund;
- Under the National Institutional Renewal Programme, the Government of Ghana decided among other things to restructure some subvented agencies to play a more meaningful role in national development. Law Trust Company was retained to restructure GRATIS, a subvented agency of the Ministry of Environment, Science and Technology to a Commercial entity;
- Law Trust Company has provided consultancy and legal services for Cinergy Power Systems in its dealings with the Government of Ghana for the generation of power using renewable sources of power generation including wind, mini-hydro, hydro, solar, etc.;
- Law Trust Company advised AGGREKO United Kingdom PLC on transaction documents between AGGREKO and the Government of Ghana in respect of emergency power generation provided in Ghana in 1998-97 with the Government of Ghana;
- Law Trust Company acted as Solicitors for G-Com, a Ghana-Malaysian Consortium that successful acquired a 30% stake in Ghana Telecom under an international competitive tender bid sponsored by the World Bank. Law Trust with Herbert Smith's subsequently represented the investors in litigation against Ghana Telecom and the Government of Ghana and participated in international arbitration proceedings against the Government of Ghana at the Hague, which was eventually settled amicably in 2005.
- Law Trust Company in a consortium with Cal Merchant Bank, CPCS Transcom, Canada and Bendas Consulting, Canada and won an internationally competitive bid to advise the Government of Ghana on the privatization of Ghana Railways in the year 2000.
- Law Trust Company advised Cargill International S.A. on Ghanaian Tax and Legal issues in relation to a proposed financial transaction with Tema Oil Refinery (TOR).
- Law Trust currently advises a leading player in the real estate and property development sector in Ghana. Law Trust Company is providing legal advice on investment in Ghana, co-ordinating with consultants and analysts for comprehensive investment project planning laison with various state investment and regulatory agencies for the acquisition of various licenses and approvals incidental to investment and operation in Ghana.
- Law Trust Company is representing Pannell Kerr Forster in the negotiations for the deconfiscation and handing over of Pannell's property situate at plush Airport Residential Area, Accra with the Office of the President and the Ministry of Foreign Affairs.
- Law Trust also provided legal advice in Ghana in collaboration with Wayne Egan of WeirFoulds LLP of Toronto for African Gold Group Inc. a Canadian Mining concern in their bid to be listed on the Toronto Stock Exchange.
- 2005 – World Conservation Union (IUCN): Legal and Institutional study for “Allanblackia; standard setting and sustainable supply chain management” – a study on the development of community based supply to industrial concerns like UNILEVER of a naturally occurring oil-bearing seed assessed as having the capacity to replace oil palm in the production of products like margarine and soaps.
- 2005 - Netherlands Committee of IUCN: “Review of Natural Resources Sustainability Project” – a technical review of work commissioned by NC IUCN on the “legislative framework of the natural resource sector and identification of the barriers to sustainable development”.
- 2005 - : DfID / Forest Sector Development Programme: Impact Analysis and strategic Responses for social stakeholders - a study on the EU Forest Law Enforcement Governance & Trade (FLEGT) Action Plan and Voluntary
- 2004 DfID / Ghana Lands & Forestry Policy Support Facility / CARE International: Timber Legality and Ghana: - a study of the definition of “legality” as it applies to Ghana’s timber trade with the EU.
- 2004 - IIED / Forest Governance Learning Group: Legality and Impacts of Ghana’s Forest Permits Regime
- 2003 - CARE International: Law and Policy in Ghana’s Forestry Sector a study of Community statutory rights in forestry in Ghana.
- 2003 - Ghanaian Danish Community Project (with E&D Associates), Strategic review and redesign of “Women & Loans” sub-programme study on expansion and conversion of loan scheme operating in Tolon Kumbungu and Savelugu-Nanton Districts to status of community bank.
- Law Trust was responsible for legal advice leading to the licensing and establishment of a countrywide oil marketing company. The company has been advising and provides general legal representation for the major international and civil engineering and construction firm
- Advice and conduct litigation for a Major German civil engineering and Consruction company executing multi-million dollars Word Bank financed works in Ghana.
- In the year 2001, provided legal advice on aspects of Ghana law to a major British Airline as it made an investment decision about investing in Ghana Airways, the National Airline.
- In the year 2005 provided requisite legal advice for the set up and operation of a major Chinese conglomerate, Sigcess Medical,in Ghana.
- We Currently advising a major Chinese Telecommunications Company setting up in Ghana.
